Welcome to Retail Systems POS (“RETAIL SYSTEMS”, “we”, “us” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our point-of-sale software, hardware, websites, services and systems (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Acceptance of Terms
You agree that your access to and use of the Services is subject to these Terms and any additional terms referenced herein or provided to you in your agreement with us.
2. Eligibility
You represent and warrant that you are at least 18 years old and have authority to enter into this agreement on behalf of your business.
3. Provision of Services
RETAIL SYSTEMS will provide the Services as specified in your signed order or proposal, including software, hardware, installation, support, and training if applicable.
4. Use of Services
You may only use the Services for lawful business purposes and in accordance with these Terms and any use guidelines we publish.
You agree not to:
- Use the Services in a manner that violates any law or regulation.
- Reverse engineer, copy, modify, translate or disassemble the Services.
- Use the Services to infringe the rights of any third party.
5. Fees and Payment
You agree to pay all fees specified in your order or proposal. Fees may include software subscriptions, hardware costs, installation and support charges.
All payments are due in accordance with the payment terms specified in the agreement. Late payments may incur interest at the maximum legal rate.
6. Term and Termination
These Terms govern your use of the Services until terminated. Either RETAIL SYSTEMS or you may terminate the Services in accordance with the termination provisions in your contract.
Upon termination, all licenses cease and you must cease all use of the Services.
7. Intellectual Property
All rights, titles and interests in the Services, including associated documentation and code, remain with RETAIL SYSTEMS or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
8. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranty of any kind. RETAIL SYSTEMS makes no representations or warranties that the Services will be uninterrupted, error-free, or secure.
9. Limitation of Liability
To the extent permitted under applicable law, RETAIL SYSTEMS will not be liable for any indirect, special, consequential or punitive damages arising out of your use of the Services.
10. Indemnity
You agree to indemnify, defend and hold RETAIL SYSTEMS and its officers, employees, agents and affiliates harmless from any claims, liabilities, damages, losses or expenses arising out of your use of the Services or violation of these Terms.
11. Changes to Terms
We may modify these Terms at any time by posting updated Terms on our website. Your continued use of the Services constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of Western Australia, Australia.
